General Summary

Performs all administrative duties associated with legal matters with minimal supervision, sound organizational and analytical skills, takes initiative in leadership's absence and provides guidance to System clients, as necessary. Accomplishes numerous special projects and performs a variety of complex tasks for the Legal Department and is principal liaison for coordinating and monitoring provider contracting throughout the System including confirming compliance with organization's policies and procedures. Exercises diplomatic communications and excellent client relations, promoting positive and effective working relationship with all contacts.

Duties and Responsibilities

Essential Functions:
  • Provides legal review of physician employment offers and drafts provider contracts and amendments. Drafts other contracts and legal documents as requested.
  • Works in partnership with the Legal Department to achieve established goals of the department.
  • Advises General Counsel and Associate General Counsel on matters relative to the efficient operation of the department.
  • Informs the General Counsel and Associate General Counsel of any unusual concerns or conditions relative to legal compliance.
  • Collaborates with Service Line Leaders with regard to physician contracting.
  • Prepares documents required for physician practice acquisitions. Provides leadership in standardizing the process for bringing existing physician practices into the WellSpan Medical Group.
  • Collaborates with Finance to resolve physician compensation issues.
  • Identifies both legal and operational concerns and brings them to the attention of the appropriate WellSpan leader.
  • Assists WellSpan leadership with due diligence and integration activities.
  • Demonstrates effective management of own time by setting deadlines and completing commitments within negotiated time frames.
  • Actively assists departments in coordinating activities related to contracts, contract management and contract negotiations.
  • Serves as liaison between System staff and Legal Department in an effort to facilitate the contract process.
  • Communicates and/or negotiates contract terms with physicians and counsel.
  • Ensures that signed contracts are communicated to all relevant parties in a clear and concise, timely manner.
  • As requested, provides guidance on contract matters to other departments, including management training.
  • Maintains accurate and confidential records and documentation.
  • Provides secure control of contract correspondence, client request, and/or details relative to project, status reports and other communications for each project
  • Initiates and manages a logical and efficient filing system to ensure ease and expeditious retrieval of information
  • Works closely with Service Lines to ensure physician arrangements are properly documented in accordance with applicable laws and System policy.
  • Works closely with Audit and Compliance Department and the Contracts Administrator to ensure physician arrangements are appropriately documented in accordance with applicable laws and System policy.
  • Performs legal research.
  • Drafts and reviews policies and procedures.
  • Assists in ensuring compliance with System core values, Code of Conduct, confidentiality obligations and other policies and procedures.
  • Provides support for corporate governance activities and the daily activities of the legal team.
  • Provides common sense solutions to operational issues

Minimum Education:
  • Bachelors Degree Required
Work Experience:
  • 5 years Experience in Corporate law. Required
  • Healthcare law. Preferred
Courses and Training:
  • Paralegal training/certificate Upon Hire Preferred
Knowledge, Skills, and Abilities:
  • Excellent written and verbal communication and organizational skills.
  • Careful attention to detail.
  • Proficient in legal research and Microsoft Office tools such as Word and Excel.
  • Self-motivated and flexible.
  • Able to learn quickly and work without supervision.
