Associate General Counsel - System Operations/Transactions

General Summary:

Under the general supervision of the Vice President and Deputy General Counsel, the Associate General Counsel provides legal guidance and support, including drafting and reviewing agreements, for assigned System activities and issues, such as structuring business arrangements and transactions (acquisitions, joint ventures and other affiliations), compliance with healthcare laws and regulations, corporate governance, information privacy and security, hospital operations, physician network operations, government reimbursement, private payor arrangements, tax-exemption, employment, graduate medical education and research, and self-insurance.  The Associate General Counsel may assist in overseeing Assistant General Counsel and/or outside Counsel.  The Associate General Counsel will participate in monitoring legislative and regulatory developments and providing education to board, management, physicians, and other staff.

Duties and Responsibilities:

Provides legal guidance and support for various System activities and issues.

Reviews and makes recommendations on proposed contracts.

Studies proposed and existing legislation and advises on areas of concern.

Provides legal advice with respect to administration and prepares resolutions and forms.

Provides support for the System's enterprise risk management activities by identifying risk factors and advising on mitigation and control strategies.

Participates in monitoring legislative and regulatory developments and provides education to board, management, physicians, and other staff.

Assists the Vice President and Deputy General Counsel by handling complex legal matters or projects as assigned.

May assist in overseeing Assistant General Counsel and/or outside Counsel

Maintains professional affiliations and enhances professional growth and development to keep abreast of latest trends in field of expertise.

Provides outstanding service to all customers; fosters teamwork; and practices fiscal responsibility through improvement and innovation

Maintains effective and confidential data management reporting system to compile data and generate reports.

Provides legal assistance in the financial management activities of the organization.

Participates in administrative staff meetings and attends other meetings as assigned.

Performs other related duties as identified.

Qualifications:

Minimum Education:   Doctor of Law (J.D.)

Minimum Experience:   A minimum of 10 years related experience required

Preferred Experience:  Experience handling healthcare mergers, acquisitions, joint ventures, and other complex business transactions.

Req Cert/Registration:  License to practice law in PA or able to obtain license within 6 months
